This document describes the general conditions governing access to and use of DialogOps — a SaaS platform for professional customer service over WhatsApp. By creating an account or continuing to use the service, the customer declares that they have read, understood, and fully agreed to the terms below. If you do not agree, you must stop using the service immediately.
1. Scope of service and definitions
DialogOps is a continuously-operated cloud software (SaaS) that provides agent collaboration on WhatsApp conversations, routing automations, queues, assistive generative AI, integrations with third-party APIs, operational reports, and other features described on the public site. For contractual purposes: "Customer" is the natural or legal person who subscribes to the service; "User" is anyone operating the platform under the Customer's account; "Platform" is the set of software, APIs, dashboards, and automated processes made available; "Unique Contact" is each distinct end-customer who initiated a WhatsApp conversation within the reference month. The service is provided through a non-exclusive, non-transferable, and revocable use license.
2. Account, credentials, and Customer responsibility
Account creation requires true and current data. The Customer is solely responsible for: (a) preserving the confidentiality of passwords and access tokens; (b) configuring profiles, permissions, and operational limits before moving the account to production; (c) all actions performed by its Users, including content sent, integrations connected, and automated flows; (d) complying with the legislation applicable to its activity. Sharing credentials between people is discouraged — suspicious security events must be reported immediately through the support channels.
- The customer remains responsible for the lawful use of contact lists, message content, campaign logic, and any notices or permissions required by its own business model.
- Where state-specific privacy or marketing rules apply, the customer must configure its operational flow to match those requirements before using automation or targeting features.
- Requests involving access, deletion, correction, opt-out, or sensitive-data restrictions may require coordination between the customer and DialogOps.
3. Content, messages, and end-customer relationship
The Customer acknowledges full responsibility for the content exchanged within the Platform, for complying with Meta/WhatsApp Business commercial policies, for having a legal basis to process its own end-customers' data, and for respecting the limits on unsolicited communications (anti-spam). DialogOps provides operational infrastructure and does not pre-screen sent content, except when required by court order, regulatory demand, or a complaint formalized through official channels.
4. Integrations, artificial intelligence, and external providers
Essential parts of the service rely on third-party providers — including but not limited to: Meta/WhatsApp Business API, official BSP (Business Solution Providers) partners, generative AI providers, cloud infrastructure, transactional email services, and payment gateways. Availability, latency, technical limits, variable costs, data retention, and the commercial policies of these providers may affect features and are beyond the direct control of DialogOps. The Customer acknowledges that AI-generated responses may contain inaccuracies and must be reviewed by humans before any critical decision.
5. Billing, plans, and overages
Subscriptions are offered as plans with monthly Unique Contact volumes published on the Plans page. The billing cycle may be monthly, quarterly, or annual, with progressive discounts on longer cycles. Billing is in advance and processed in the currency and payment methods applicable to the Customer's region — operational details (gateway, due date, fiscal receipt) appear in the region-specific section below. Failure to confirm payment by the due date may lead to automatic access suspension, without prejudice to resumption after settlement. When monthly Unique Contact consumption exceeds the contracted limit, the overage is charged according to the published rate (price per additional Contact), measured by the Customer's own dashboard — there is no real-time block on sending. Plan changes (upgrade or downgrade) take effect in the next billing cycle; pro-rated refunds are not granted unless explicitly required by law. Any activation or assisted-implementation fees are disclosed in advance and charged once.

There is no single federal website-cookie rule or privacy banner model that covers every U.S. state. For that reason, DialogOps uses a more restrictive default: optional categories remain off until a user makes a clear choice, and the service may honor signals such as Global Privacy Control where technically and legally relevant.
Billing in U.S. Dollars (USD) via international payment methods supported in the region (card, wire transfer, or platform-supported equivalents). Tax receipts (sales tax / VAT, where applicable) are issued in accordance with state and local rules. Governing law: the laws of the Customer's state of residence, where the Customer is a consumer. For B2B customers, the parties agree to the exclusive jurisdiction of the state and federal courts located in the United States, except where applicable consumer-protection law mandates a different venue.

6. Suspension, cancellation, and intellectual property
These Terms may be revised to reflect regulatory changes, product evolution, or relevant operational changes; when this occurs, the updated version will be published with the revision date and, for material changes, the Customer will be notified through registered channels. Access may be limited, suspended, or terminated in cases of default, breach of these Terms, fraudulent or abusive use, court order, or risk to Platform or third-party security. Cancellation initiated by the Customer may be requested at any time from the dashboard — there is no loyalty penalty, but amounts referring to the current billing cycle are non-refundable. All software, source code, brand, visual identity, marketing content, and knowledge bases are the exclusive property of DialogOps and its licensors; reproduction, reverse engineering, derivative works, or redistribution without written authorization is forbidden. Inquiries, legal notices, and administrative requests must be sent through the official channels published on the site. Tolerance of any breach does not imply a waiver of rights.
